I am looking to hire an experienced legal personnel with a particular background working in angel and/or venture capital investments into tech startups. I own and operate a regional e-commerce platform that specializes in indexing profiles of traditional artisans and their traditional handmade crafts, with a focus on promoting and selling traditionally-sourced handicrafts from Papua New Guinea and the Asia-Pacific Region.
The startup, called Biluminous, has recently secured funding from a local Angel Investor. Our next and immediate step is to put together a non-binding legal agreement capturing the following:
1. Terms and conditions of the angel investment,
2. Purpose, duration, and total investment amount,
3. Type of security investment, also known as the Investment Structure - convertible debt investment is our choice (angel investor to acquire 10%-15% of the company's equity if the MVP/Pilot is successful once the convertible debt expires),
4. Board structure and reporting
The angel investor has agreed to give full control and freedom to the startup as to how we intend to distribute the investment in designing, developing, marketing, and rolling-out the MVP & Pilot Project. We have agreed that an initial deposit of 16.66% of the whole investment will first be provided by the investor to cover 3-6 months of operation.
I have attached our initial business plan - note that this plan reflects our first roll-out/pilot and will have to be updated. However, you're sure to get a good understanding of what the startup is and does, where it came out of, and what our overall vision is for the future of the company. In addition to the profile, you'll also find supporting docs from our international partners. These will provide even further background info on the project and the startup.
The overall timeframe for this job is about 1-2 weeks, but the sooner the better. We are running on a tight schedule here and require this immediately so that the initial investment funds can come in for us to proceed with our operational activities.
